1. Introduction and Acceptance

Welcome to TechAudio Pro. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TechAudio Pro ("Company," "we," "our," or "us"), a business registered in Manitoba, Canada (Registration Number: 98014371).

3. Equipment Sales

3.1 Product Information

We strive to provide accurate product descriptions, specifications, and pricing information. However, we do not warrant that product descriptions or other content is error-free. If a product you purchase is not as described, your sole remedy is to return it in accordance with our Refund Policy.

3.2 Pricing and Payment

• All prices are in Canadian Dollars (CAD) unless otherwise stated
• Prices are subject to change without notice
• Applicable taxes (GST, PST, or HST) will be added at checkout
• We accept major credit cards, debit cards, and cash payments
• Payment must be received in full before equipment is released
• We reserve the right to refuse or cancel orders at our discretion

3.3 Order Confirmation

When you place an order, you will receive an email confirmation. This confirmation does not constitute acceptance of your order. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing, or suspected fraudulent activity.

3.4 Delivery and Pickup

• Purchased equipment can be picked up at our location or delivered within the Winnipeg area
• Delivery fees apply based on location and may be quoted separately
• Risk of loss transfers to you upon delivery or pickup
• Delivery times are estimates and not guaranteed

4. Equipment Rental Services

4.1 Rental Eligibility

To rent equipment from TechAudio Pro, you must:

• Be at least 18 years of age
• Provide valid government-issued photo identification
• Provide a valid credit card for security deposit
• Sign our rental agreement
• Comply with all rental terms and conditions

4.2 Rental Periods and Rates

• Rental periods are calculated in 24-hour increments
• Daily, weekly, and monthly rental rates are available
• Rental periods begin at the time of equipment pickup
• Late returns are subject to additional charges at the daily rate
• Rental rates do not include applicable taxes

4.3 Security Deposit

• A security deposit is required for all equipment rentals
• Deposit amounts vary based on equipment value
• Deposits are held on your credit card and released upon satisfactory equipment return
• Deposits may be applied toward damage, loss, or late fees

4.4 Equipment Condition and Care

As a renter, you agree to:

• Inspect equipment upon pickup and report any existing damage
• Use equipment in a safe and proper manner
• Protect equipment from damage, theft, or loss
• Not modify, repair, or alter equipment without written permission
• Return equipment in the same condition as received, normal wear excepted
• Clean equipment before return (sensor cleaning excluded for cameras)
• Return all accessories, cables, and cases provided

4.5 Damage, Loss, and Theft

• You are responsible for equipment during the entire rental period
• You will be charged for any damage beyond normal wear and tear
• Lost or stolen equipment must be reported immediately
• You are liable for full replacement cost of lost or stolen items
• Optional damage protection insurance is available for an additional fee

4.6 Cancellations

• Rental reservations can be cancelled up to 48 hours before pickup for full refund
• Cancellations within 48 hours are subject to a 50% cancellation fee
• No-shows or same-day cancellations forfeit the entire rental fee

5. Videography and Production Services

5.1 Service Agreements

Professional videography and production services require a separate service agreement outlining:

• Scope of work and deliverables
• Project timeline and deadlines
• Pricing and payment terms
• Usage rights and licensing
• Revision and approval processes

5.2 Payment Terms

• A 50% deposit is required to secure booking
• Final payment is due upon project completion
• Rush services may incur additional charges
• Additional fees apply for services outside the original scope

5.3 Client Responsibilities

Clients agree to:

• Provide clear project requirements and specifications
• Secure necessary permissions and releases for filming locations
• Ensure participant availability at scheduled times
• Provide timely feedback and approvals
• Respect our team members and maintain professional conduct

5.4 Intellectual Property

• Upon full payment, clients receive specified usage rights as outlined in the service agreement
• TechAudio Pro retains copyright to all created content unless otherwise agreed
• We reserve the right to use completed work in our portfolio and marketing materials unless otherwise agreed
• Clients may not resell or redistribute content beyond agreed usage terms

6. Studio Space Rental

6.1 Booking and Availability

• Studio space is available by advance reservation only
• Hourly and daily rental options are available
• Technical support can be included for an additional fee
• Bookings are confirmed upon receipt of deposit

6.2 Studio Rules

Clients using our studio space agree to:

• Arrive and depart at scheduled times
• Respect equipment and facilities
• Leave the space clean and organized
• Report any damage or issues immediately
• Not exceed maximum occupancy limits
• Comply with all safety regulations

7. Warranties and Disclaimers

7.1 Equipment Warranties

• New equipment includes manufacturer warranties as specified
• Used equipment is sold "as-is" unless otherwise stated
• We do not warrant that equipment will meet your specific requirements
• We are not liable for incompatibility issues with your existing equipment

7.2 Service Warranties

• We warrant that services will be performed in a professional manner
• We do not guarantee specific outcomes or results
• Technical issues beyond our control may affect service delivery

7.3 Disclaimer of Warranties

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TechAudio Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific product or service
• We are not liable for data loss, business interruption, or lost profits
• We are not responsible for equipment malfunctions or technical failures during your use
• You assume all risks associated with equipment operation

You agree to indemnify, defend, and hold harmless TechAudio Pro, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of our equipment or services
• Your violation of these Terms
• Your violation of any third-party rights
• Any damage, injury, or loss caused by your actions

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, equipment failures, or other force majeure events.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to achieve the intended purpose to the extent possible.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TechAudio Pro regarding use of our website and services, superseding any prior agreements.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our website or services after changes constitutes acceptance of modified Terms. We encourage regular review of these Terms.
